Product License Policy
Product Licence
Subject to the Usage Limitations, the Channel Partner’s payment of the License Fees, and compliance with the other terms and conditions of the Purchase Order, MSA, and the EULA, and provided that the relevant End-User at all times during the License Term has in place and complies with an EULA, Intelex Vision will grant to the Channel Partner a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use and access the Product during the License Term, or to integrate the Product with End-User Systems and to permit End-Users to use and access the Product (as integrated with the End-User Systems), in all cases during the License Term and solely for internal business purposes.
License Variants
Intelex Vision has different variants of licenses, depending on the platform the software is running on. There are currently three major variants: (a) a Native Milestone integration, (b) Metadata Management System (MMS) and (c) a Stand-Alone version (Firefly). Integrations, APIs and gateways for other platforms are available and may be subject to special pricing, which may be modified at Intelex Vision’s sole discretion.
Delivery
Upon acceptance of the License Purchase Order in accordance with the MSA and EULA, Intelex Vision shall make the Product and the Documentation available to the Channel Partner for download via the Partner Portal.
Licensing is managed through Intelex Vision’s License Portal, to which the Channel Partner has access using a unique username and password. This Portal is used to manage, assign, and activate licenses, providing full control to the Channel Partner. Delivery shall be deemed complete upon such availability.
License Pool
Each issued license will be allocated to a License Pool. A License Pool is a collection of Intelex Vision Software licenses related to one well-specified project, site or server, which may be assigned, re-assigned, or managed by the End-User or Channel Partner via the License Portal, subject to the terms of this Policy and the EULA.
Upon ordering licenses, the Channel Partner may indicate to which existing pool the licenses should be assigned in the case of additional licenses being purchased. For new projects, a new License Pool will be created by Intelex Vision, and the Channel Partner will be notified of the corresponding Pool ID.
The licenses relative to a given Purchase Order will be assigned to a new or existing License Pool. All licenses in a Pool may benefit from a Support and Upgrade Plan (SUP), the conditions of which are described below.
End User License Agreement
The deployment and use of any Intelex Vision Software analytics or third-party software products included in the Intelex Vision Software Platform is subject to the terms and conditions defined in Intelex Vision’s EULA. The Channel Partner shall ensure that each End-User enters into and complies with a EULA in relation to its use of the Product.
The Channel Partner shall remain fully responsible and liable for any acts or omissions of any End-User (including any breach of the EULA or acts causing a breach of the MSA) as if committed by the Channel Partner itself. Intelex Vision shall have no liability for any End-User’s non-compliance. Please refer to the EULA for full details at www.intelexvision.com/legal/eula.
License Requirements
The Intelex Vision Software Platform requires one license per video channel being analysed. Intelex Vision Software licenses can be purchased as Paid Up Licenses or supplied on a subscription basis. Paid Up Licenses come with a one-year warranty counted from the Delivery Date (as defined in the EULA).
At least the first-year Support and Upgrade Plan (SUP) is mandatory for all Paid Up Licenses, as detailed in the EULA. Once a Purchase Order (PO) for licenses is accepted, Intelex Vision will issue the corresponding licenses within 30 days to the Channel Partner by means of an Initial License File (“ILF”). These licenses, although issued, do not need to be activated immediately, subject to the 6-month Activation Grace Period from the date of issuance.
The licenses relative to a given PO will be assigned to a new or existing License Pool within the Intelex Vision Software License Portal. Licenses within a Pool can be applied to one or more sites, to single or multiple End-Users. Normally, a Pool will apply to a specific End-User and a specific project, site or server.
Intelex Vision Software licenses have five stages in the License Life Cycle, based on the SOFTWARE VERSION RELEASE DATE of the currently installed software (not the license purchase or activation date). Channel Partners with an active SUP who install newer software versions effectively reset their current lifecycle stage. The stages are as follows:

Support and Upgrade Plan (SUP)
The Intelex Vision SUP is a comprehensive software support, upgrade, and technical assistance programme designed to enhance the use and longevity of the Intelex Vision Software Platform.
Major releases are typically issued once or twice a year, however the platform is updated with performance improvements, security patches, or new features regularly as required. The SUP ensures Channel Partners benefit from these updates to operate on the latest software versions for optimal performance and security.
Intelex Vision recommends that Channel Partners install the latest software version at least annually to maintain optimal support levels and reset their lifecycle stage to General Availability.
Nothing in this Policy or the EULA obliges Intelex Vision to develop or provide any specific update or upgrade. All new Paid-Up License purchases require a mandatory minimum one-year SUP.
Channel Partners may purchase additional SUP extensions (up to 2, 3, 4, or 5 years) at the time of the initial license purchase at a discounted rate. Renewals or extensions may be made at any time during the current SUP cover period.
The SUP term for any License Pool commences upon activation of the first license in that pool and is governed by a Single SUP Expiry Date (SSED), as described below. The terms of the SUP are subject to change at Intelex Vision’s sole discretion, provided that any such changes will not materially diminish the level of support provided during the then-current SUP term.

Level 1 and 2 Support Functions
Level 1 and 2 support functions are primarily the responsibility of the Channel Partner (Distributor and/or Integrator).
These roles encompass essential activities to ensure seamless operation of the software system, including system maintenance, ongoing monitoring, configuration management, and fundamental troubleshooting.
- Maintenance, Monitoring, and Configuration: Maintenance and continuous system monitoring are integral to Level 1 support, involving routine review of system performance using tools like our Business Intelligence (BI) tools to gauge system health. Proficiency in understanding system architecture and its interaction with the operating environment is crucial. As the number of cameras in use increases, diligent monitoring becomes increasingly vital. System configuration responsibilities, such as onboarding new cameras and fine-tuning configuration settings (from basic to advanced), are also within the purview of Level 1 and 2 support.
- Basic Troubleshooting: Basic troubleshooting requires a deep understanding of the underlying system functionalities, including how they interconnect with hardware and network components. Proficiency in analysing and interpreting log files is a critical skillset to effectively resolve system issues. Level 1 and 2 support personnel are expected to possess this skillset.
Level 3 Support Function
Level 3 support is exclusively provided by the Intelex Vision technical team and is included within the SUP package. This level addresses system bugs, faults, and technical issues specific to the Intelex Vision Software.
- Includes: Investigation and resolution of software bugs and faults in the Intelex Vision Software that cannot be resolved by the Channel Partner’s Level 1 and 2 support teams; assistance with complex technical issues related to the Provided Solution.
- Does Not Include: On-site support at the End-User’s premises; support for issues caused by Channel Partner or End-User hardware, networking, or software dependencies (e.g., firewalls, networking, or operating systems); support for problems resulting from unauthorized system modifications or failure to meet minimum system requirements; or training/assistance with basic configuration, maintenance, or troubleshooting tasks, which remain the responsibility of the Channel Partner’s Level 1 and 2 support teams.
Level 3 support is provided on a commercially reasonable efforts basis, with no guaranteed resolution times unless governed by a separate Service Level Agreement (SLA). Intelex Vision reserves the right to determine the scope of Level 3 support and the appropriate personnel for issue resolution. Issues must be escalated to Level 3 only after the Channel Partner’s Level 1 and 2 teams have exhausted all reasonable troubleshooting steps. The Channel Partner is responsible for ensuring the Software remains up to date, and may be required to update supporting software or hardware to maintain compatibility. Service level commitments are generally governed by separate SLAs between Intelex Vision and individual Channel Partners or End-Users.
Should a Channel Partner or End-User without a valid SUP require Level 3 technical support, this may be provided at Intelex Vision’s then-current Professional Services rates.
Should a Channel Partner or End-User request to renew a SUP after a suspension exceeding one year, such renewal is permitted provided the relevant license is not in the ‘Deprecated’, ‘Terminated’, or ‘End of Life’ lifecycle stage (see License Life Cycle table above). In such cases, the Channel Partner (or End-User through their Channel Partner) must engage Intelex Vision for a comprehensive evaluation of their hardware and software infrastructure to ensure compatibility with the latest software release, which may incur additional Professional Services fees.
For Channel Partners or End-Users without a valid SUP and whose licenses are in the ‘Terminated’ or ‘End of Life’ lifecycle stage, Intelex Vision offers a trade-in programme on existing licenses to make the transition more cost-effective than purchasing new licenses. The trade-in programme must be consulted with the Channel Partner and Intelex Vision’s representative in the applicable region.
License Pool Activation and SUP Expiry
Upon creation of a License Pool via an accepted Order, Intelex Vision grants a 6-month Activation Grace Period from the date of issuance to activate any one of the licenses in that pool. The License Activation Date of the first license in the pool triggers the commencement of the 12-month (or extended) SUP term for the entire pool, plus a 30-day Commissioning Grace Period, and establishes a Single SUP Expiry Date (SSED).
The maximum SUP validity period for any License Pool is 18 months from the date of pool creation (the ‘Backstop Date’), regardless of activation status.
SSED Calculation Scenarios:
- First License Activated Within 6 Months: SSED = Activation Date + 30 days (Commissioning Grace) + SUP term purchased (e.g., 1–5 years). Example: Activated 3 months after issuance, with a 2-year SUP: SSED = Issuance Date + 3 months + 30 days + 2 years.
- No License Activated Within 6 Months: SSED = Issuance Date + 6 months (Activation Grace) + 30 days (Commissioning Grace) + SUP term purchased. Example: No activation, with a 1-year SUP: SSED = Issuance Date + 6 months + 30 days + 1 year.
The SSED is fixed once calculated but must be recalculated if the SUP is extended within the current SUP cover period. The SUP ensures support and upgrades for the whole pool until the SSED.
License Pool Adjustments
If additional licenses are added to an existing pool, the SSED for the pool will be recalculated using a weighted average of the SUP validity of existing and new licenses, ensuring a unified SSED for the License Pool.
If licenses are removed from a License Pool (e.g., for transfer to another server), the SSED for the originating License Pool will be reduced by the weighted average of the removed licenses. The destination License Pool will receive a corresponding extension period upon addition of these licenses.
Software Version Management and Lifecycle Reset
As Intelex Vision typically has limited or no access to End-User environments and does not control installed versions, it is the End-User’s (or Channel Partner’s) responsibility to ensure that End-User software is updated regularly to benefit from security updates, bug fixes, maintain optimal support levels, and reset their lifecycle stage to General Availability. Channel Partners with an active SUP should install the latest software version at least annually. When a newer software version is installed, the support level immediately adjusts to match that version’s current lifecycle stage. Example: A license purchased in 2020 running 2025 software receives General Availability support, not Deprecated, Terminated, or End of Life support. This ensures that Channel Partners maintaining current software through SUP receive full support indefinitely. Intelex Vision assumes no liability for issues arising from failure to install available updates.
Intelex Vision Professional Services
Intelex Vision Professional Services are offered, at Intelex Vision’s discretion, to End-Users (through Channel Partners) or to Channel Partners themselves, to assist with the deployment and commissioning of the Intelex Vision Software Platform and to ensure optimal performance. This may also serve as a hands-on training opportunity for Channel Partners. Professional Services will be quoted on a per-day basis and are subject to separate terms and fees.
Special Commercialization Restrictions Related to the Intelex Vision Software Platform
Commercialization of the Intelex Vision Software Platform requires acceptance and signing of an Intelex Vision Channel Partner Agreement. The Intelex Vision Software Platform may be sold only by Channel Partners that meet the above condition, as well as any geographical restrictions agreed in the Channel Partner Agreement, and subject to the restrictions in the EULA.
Product Warranty and Exclusions
Intelex Vision warrants that, for a period of twelve (12) months from the Delivery Date (or another period if previously negotiated and specified in the Purchase Order) (the “Product Warranty Period”), the Product will materially conform to the Documentation, provided it is properly installed and used in accordance with the Documentation and minimum system requirements.
The Channel Partner shall report any alleged non-conformance of the Product to Intelex Vision in writing during the Product Warranty Period. The Channel Partner’s exclusive remedy and Intelex Vision’s entire liability for breach of this warranty shall be, at Intelex Vision’s sole option, (a) correction of the non-conformity, (b) replacement of the non-conforming Product, or (c) refund of the License Fees paid for the non-conforming Product, in which case the Channel Partner’s license shall terminate.
This warranty does not apply where the non-conformity results from: (i) modification of the Product by anyone other than Intelex Vision; (ii) use of the Product in combination with equipment or software not supplied or authorized in writing by Intelex Vision; (iii) misuse, damage, or unauthorized use of the Product; (iv) the Channel Partner’s failure to install Updates supplied by Intelex Vision; or (v) Evaluation Software.
Except as expressly provided herein and to the maximum extent permitted by law, Intelex Vision disclaims all other warranties, conditions, and representations, whether express, implied, or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, or that the Product will be error-free or operate without interruption.
Limitation of Liability
To the maximum extent permitted by applicable law, Intelex Vision shall not be liable for any indirect, special, incidental, consequential, or exemplary damages, including but not limited to loss of profits, revenue, data, or goodwill, arising out of or in connection with this Policy, the Product, or the SUP, whether in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages. Intelex Vision’s total liability for any claim shall not exceed the License Fees paid by the Channel Partner for the affected Product.
The Channel Partner is solely responsible for ensuring compliance with all applicable laws, including UK GDPR, and for any third-party claims arising from the use of the Product by the Channel Partner or End-Users. Full details are provided in the EULA.
Termination
Intelex Vision may terminate or suspend any license or SUP if the Channel Partner or End-User fails to comply with the terms of this Policy, the EULA, or the MSA. Upon termination, the Channel-Partner and End-User must cease all use of the Product and destroy all copies. Full details are provided in the EULA.
Intelex Vision Software Licensing Options
The Intelex Vision Software Platform offers flexible licensing options to meet the needs of our diverse customer base. All Intelex Vision Software licenses are server-tied (to one Licensed Device, as defined in the EULA), meaning that the licenses are camera-agnostic. Channel Partners or End-Users have complete flexibility to move licenses from one camera to another and replace cameras as they break or become obsolete, subject to the terms of the EULA.
License Types
- Flexible Paid Up License: This license type is paid-up and does not expire (up to a maximum of 15 years from the License Activation Date or for as long as the Software is supported by Intelex Vision), and it is tied to the server’s essential system components. Channel Partners can fully manage this license, including the initial activation, server replacement, and camera migration through the Intelex Vision Licensing Portal while the software is within its SUP period. A minimum mandatory first-year SUP is included, with options for extensions up to 2–5 years at purchase.
- Rental License: This license provides the most flexibility, allowing Channel Partners to issue, activate, and manage licenses as needed via the Intelex Vision License Portal on a term subscription basis. These licenses typically require periodic refreshes based on the agreement (e.g., monthly, quarterly, bi-annually). Rental licenses always include SUP.
License Refresh
- Online: If the Intelex Vision Software is online, license refreshes are automatic and require no user intervention.
- Onsite: In high-security environments or where internet access is unavailable, the license can be refreshed manually with a license file update.
Intellectual Property Rights
Intelex Vision and/or its licensors shall at all times retain exclusive ownership of all rights, title, and interest, including Intellectual Property Rights (as defined in the EULA), in and to the Product, the Documentation, any copies thereof, and any improvements, enhancements, modifications, adaptations, or derivative works based thereon, whether created by or on behalf of the Channel Partner, End-User or Intelex Vision.
The Channel Partner acknowledges that, except as expressly stated in theMSA or EULA, no rights are granted to the Channel Partner other than the limited license to use the Product.
In the event that the Channel Partner or any of its personnel or contractors create, develop, or contribute to any Intellectual Property Rights in connection with the Product, Documentation, or otherwise related to the agreements, the Channel Partner hereby irrevocably assigns (and shall procure the assignment by its personnel and contractors of) all such Intellectual Property Rights to Intelex Vision, without any requirement for compensation.
The Channel Partner shall execute, and procure the execution of, any documents as may be reasonably required by Intelex Vision to perfect such assignment.
Notwithstanding the foregoing, the Channel Partner grants Intelex Vision a non-exclusive, worldwide, royalty-free, irrevocable, and paid-up license to use, process, and analyse any data (including End-Userdata) generated, uploaded, or otherwise made available through use of the Product for analytical, statistical, research, and product improvement purposes, provided that such use is in accordance with applicable data protection laws, including UK GDPR.
Intelex Vision Software License Products
The Intelex Vision Software Platform offers four license tiers—Lite, Professional, Enterprise, and Elite—each including specific Features to meet varying Customer needs in CCTV analytics for security and health/safety applications. All tiers leverage advanced artificial intelligence and are optimized for performance using hardware acceleration (e.g., GPUs or OpenVINO). Below are the license tiers and their key included Features:
Sentry Lite
The Lite tier is the entry-level license, designed for basic CCTV analytics. It includes:
- Target Ranking & Extraction (TREX) Lite: Detects and tracks moving objects or people up to 50 meters using visible or thermal cameras, minimising environmental factors like light, rain, snow, wind, or camera noise.
- Advanced Abandoned Object: Detects when an object is abandoned or removed from a scene.
- Deep Learning: Including general object detection, PPE compliance, hands raised among others.
- Logic Engine: Provides powerful rule-based decision making for scene monitoring.
Sentry Professional
The Professional tier offers enhanced capabilities for mid-sized deployments. It includes:
- All Lite Features (TREX Lite, Logic Engine, etc.).
- Unsupervised Self-Learning Unusual Behaviour (UB): An AI-driven algorithm that learns normal object movement patterns through pixel analysis and alerts on deviations, reducing video analysis requirements by 95%–98% compared to rules-based systems. A single UB license often replaces multiple rules-based licenses.
- TREX Standard: Extends detection range to 250 meters with visible or thermal cameras.
- Advanced Crossline Detection: Identifies when an object crosses a predefined virtual boundary, triggering alerts based on direction, size, speed, or object type incorporating deep learning to classify objects (e.g., person, vehicle) and support complex rules such as counting, speed estimation, or combining with face detection for enhanced situational awareness.
- Aurora Investigate: Generative AI-powered video analytics feature that transforms CCTV footage into descriptive, searchable metadata, enabling forensic search and post-event analysis using natural language queries for enhanced situational awareness and operational intelligence.
Sentry Enterprise
The Enterprise tier is designed for large-scale, complex CCTV systems. It includes:
- All Professional Features (Lite Features, UB, TREX Standard, Crossline etc.).
- TREX Premium: Extends detection range to 600 meters with visible cameras or thermal cameras.
- Aurora Verify: Real-time generative AI module that validates alerts by analysing scene context and object interactions, helping to reduce false positives and enabling natural language-based alarm verification.
- Spotlight (2 x Virtual Cameras): Virtual camera feature that allows users to zoom into specific areas of an existing camera’s view—without installing new hardware—enhancing AI detection accuracy by focussing on a specific area within the frame. This Feature has a dramatically lower resource requirement compared to a conventional camera stream, and mirrors the full functionality of the original camera, simplifying deployment and licensing.
Sentry Elite
The Elite tier is tailored for mission-critical applications with advanced tracking. It includes:
- All Enterprise Features (Professional Features, TREX Premium, Aurora, etc.).
- TREX Elite: High-performance video analytics module designed for long-range intrusion detection, optionally using PTZ (pan-tilt-zoom) cameras, capable of tracking objects across multi-kilometre distances with visible or thermal imaging. It uniquely handles camera patrol movements by pausing alerts during repositioning and resuming monitoring once stabilised, ensuring reliable detection in dynamic surveillance environments
- KeepWatch: An advanced computer vision AI feature that tracks a selected object (e.g., a person) across multiple camera fields of view in near real-time, recording and visualizing movement trajectories on a GIS map for real-time monitoring or retrospective analysis.
- Spotlight (2 additional Virtual Cameras): Extend the number of Spotlight cameras by an additional 2 virtual cameras.
Feature notes
The outputs generated by Aurora or any other AI-powered Feature are produced autonomously based on the data and parameters provided by the Channel Partner or End-User and may not always be accurate, complete, or suitable for intended purposes. Intelex Vision does not guarantee the accuracy, reliability, legality, or appropriateness of any AI-generated content or recommendations. The Channel Partner is solely responsible for reviewing, validating, and making decisions based on any AI-generated outputs, and for ensuring compliance with all applicable laws, regulations, and industry standards, including UK GDPR. Intelex Vision disclaims all liability for any actions taken or not taken based on AI-generated content, including any errors, omissions, or consequences arising from reliance on such content. Use of Aurora and other generative AI Features is at the Channel Partner’s own risk.
